These terms govern use of the Kanabar Financial website and, when launched, the paid Kanabar MTD Bridge self-service software.

The website and Kanabar MTD Bridge are supplied by Novo Delta Limited, a company registered in England and Wales under company number 13485883. Its current registered-office details are available on the Companies House register. Its VAT registration number is GB 437 2458 84.

Kanabar MTD Bridge
The MTD Bridge is intended to be self-service software for supported individual sole traders and UK property businesses. It is designed to let a customer keep supported digital records, view HMRC obligations and calculations, prepare information for review and authorise submissions through HMRC's APIs.
Novo Delta Limited does not act as the customer's tax agent through the software. The customer remains responsible for record completeness and accuracy, reviewing every submission, meeting filing and payment deadlines, keeping required evidence and seeking professional advice where needed.
The public product workflow remains a preview. A private, allowlisted test area can save dummy digital-record rows, connect a dummy user to HMRC's official sandbox and send reviewed dummy totals; it cannot take payment, use HMRC production or affect a real taxpayer. Real taxpayer records must not be entered in the sandbox test area. These paid-software terms apply when a customer is offered the live service and accepts them at checkout or account activation.
Eligibility and supported use
You must be at least 18, have authority to use the relevant business and HMRC account, and provide accurate account information. The first release is not intended for partnerships, trusts, estates, companies, tax-agent filing, foreign-property cases or other circumstances identified as unsupported on the product page.
You must not misuse the service, attempt unauthorised access, interfere with security, introduce harmful code, submit information for another person without authority or use the service for unlawful or fraudulent activity.
HMRC authorisation and submissions
You connect to HMRC through HMRC's own OAuth authorisation journey. Novo Delta Limited does not receive or store your Government Gateway password. HMRC authority may expire, be withdrawn by you or be revoked by HMRC, after which you may need to reconnect.
The software will not submit an update or declaration merely because records have been entered. You must review the information shown and positively approve each submission. A submission is complete only when the service displays an HMRC acceptance response or receipt. You should keep that receipt and check your HMRC account if a status is uncertain.
HMRC services can be unavailable or return errors outside Novo Delta Limited's control. You remain responsible for allowing enough time before a deadline and using an alternative HMRC route where available and necessary.
Annual subscription and VAT
The launch price is £340.00 plus VAT per year. At the current 20% UK VAT rate, the total annual charge is £408.00. The exact price, tax and renewal date will be shown in Stripe Checkout before payment.
The subscription starts when payment succeeds and renews automatically each year using the payment method held by Stripe unless cancelled before the renewal date. Novo Delta Limited will give reasonable advance notice of a price change that would apply at renewal. Stripe processes payment details; Novo Delta Limited does not store full card or bank details.
Cancellation, cooling-off and refunds
You can stop automatic renewal through the Stripe customer portal or by contacting Novo Delta Limited. Unless a statutory right or an agreed remedy requires otherwise, access continues until the end of the paid annual period and unused time is not refunded.
If you are acting as a consumer, applicable law may give you a 14-day right to cancel an online service contract. Novo Delta Limited will not reduce your statutory rights. Any request for immediate service, acknowledgement concerning digital content or proportionate charge will be presented separately where the law requires it. Refunds required by law, including for duplicate charging or a qualifying service failure, will be made without undue delay.
Your records and account
You should keep independent copies of records and download any export you need before closing an account. You are responsible for maintaining access to your registered email address, protecting your device and sign-in credentials, and telling Novo Delta Limited promptly about suspected unauthorised use.

Availability, updates and support
Novo Delta Limited will take reasonable care to operate and secure the software, but uninterrupted or error-free availability is not guaranteed. Access may be suspended temporarily for maintenance, security, HMRC changes, supplier outages or events beyond reasonable control.
The software may be changed to meet tax, HMRC API, security or legal requirements. Material changes affecting customer use will be communicated where reasonably practicable. Support and security concerns can be reported to info@kanabarfinancial.com.
Intellectual property
The website, software, design, text and calculation logic are owned by or licensed to Novo Delta Limited. A paid subscription gives you a limited, non-exclusive and non-transferable right to use the service for your own supported tax affairs during the subscription. It does not transfer ownership or permit resale, copying, reverse engineering or creation of a competing service except where law expressly allows it.
Liability
Nothing in these terms excludes liability that cannot lawfully be excluded, including liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or a consumer's statutory rights.
If you use the service for business purposes, Novo Delta Limited is not liable for indirect or consequential loss, loss of profit, revenue, business, opportunity or anticipated savings. Subject to liabilities that cannot be limited, its total liability arising from the paid service is limited to the subscription fees you paid in the 12 months before the event giving rise to the claim.
If you use the service as a consumer, Novo Delta Limited is responsible for foreseeable loss caused by failure to use reasonable care and skill or breach of these terms, but not for loss that was not foreseeable or for business loss arising from consumer use.
Suspension and ending access
Novo Delta Limited may suspend or end access for non-payment, serious or repeated breach, unlawful or fraudulent use, a security risk, or where HMRC or another essential supplier withdraws required access. Where appropriate, reasonable notice and an opportunity to remedy the issue will be given.
Ending access does not remove obligations or rights that have already arisen. Provisions on payment, intellectual property, liability, records and governing law continue where their nature requires it.
Changes, governing law and complaints
These terms may be updated for legal, security, HMRC or product changes. Material changes to a paid subscription will be notified before they take effect. If you do not accept a material change, you may cancel renewal before the next paid period.
These terms are governed by the law of England and Wales. The courts of England and Wales have jurisdiction, although a consumer may retain mandatory rights to use the courts where they live. Please contact Novo Delta Limited first so a complaint can be investigated.
